Terms of Service

Please read these terms carefully before using Rezo. By creating an account or accessing the platform, you agree to be bound by these terms.

1. About Rezo

Rezo is an online directory that connects consumers with trusted Haitian professionals, including attorneys, CPAs, doctors, and other service providers who speak their language. Rezo provides the technology platform only. We are not a professional services firm and do not provide legal, medical, financial, or any other professional advice.

Rezo does not employ, endorse, or guarantee any professional listed on the platform. Any relationship formed between a consumer and a professional through Rezo is solely between those parties.

2. Eligibility & account registration

To use Rezo, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate, complete, and current information when creating an account
  • Keep your account credentials secure and not share them with others

You are responsible for all activity that occurs under your account. If you suspect unauthorized use of your account, notify us immediately at support@joinrezo.com.

3. Consumer & professional accounts

Consumers

Consumers may browse the Rezo directory and contact professionals at no charge. Consumers agree to use the platform only for lawful purposes and to interact with professionals respectfully and in good faith.

Professionals

Professionals may create a listing on Rezo by self-registering on the platform. All professional listings are subject to a credential verification process conducted separately by Rezo. Submission of a registration does not guarantee approval or publication of a listing.

By registering as a professional, you represent and warrant that:

  • All information you provide — including credentials, licenses, and specialties — is accurate and up to date
  • You hold any licenses or certifications you claim to hold, and that they are current and in good standing
  • You will promptly update your profile if any of this information changes

Rezo reserves the right to verify, reject, or remove any professional listing that does not meet our standards or where verification cannot be completed.

4. Subscriptions & billing

Plans

Professional listings on Rezo require an active paid subscription. We offer monthly (auto-renewing) and annual (auto-renewing) billing options. By subscribing, you authorize Rezo to charge your selected payment method on a recurring basis until you cancel.

Free trial

New professional accounts are eligible for a 30-day free trial. To start a trial, you must provide valid payment information. You will not be charged during the trial period. At the end of the 30 days, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

Free trials are available to new professional accounts only. Only one free trial is permitted per person, business, or payment method. Abuse of the free trial offer — including creating multiple accounts to obtain additional trials — is a violation of these Terms and may result in account termination.

Payment processing

All payments are processed securely by Stripe, Inc. Rezo does not store your full card details on our servers. By providing payment information, you also agree to Stripe's Terms of Service.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@joinrezo.com. Upon cancellation, your professional profile will remain active through the end of your current paid billing period. No partial-period refunds will be issued for unused time.

Refund policy

All subscription fees are non-refundable. If you believe a charge was made in error, contact us at support@joinrezo.com and we will review your case individually.

Price changes

Rezo may change subscription pricing at any time. We will provide at least 30 days' notice of any price increase via email before the change takes effect on your account.

5. User content

"User Content" means any information, text, reviews, messages, images, or other material you submit to Rezo. By submitting User Content, you grant Rezo a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content on the platform for the purposes of operating and promoting Rezo.

You represent and warrant that:

  • You own or have the right to submit all User Content you post
  • Your User Content does not infringe any third party's intellectual property, privacy, or other rights
  • Your User Content is accurate, truthful, and not misleading

Rezo does not endorse any User Content and is not responsible for the accuracy of professional profiles or consumer reviews. We reserve the right to remove any User Content that violates these Terms or that we determine is harmful, false, or inappropriate.

6. Acceptable use

You agree not to use Rezo to:

  • Post false, misleading, or fraudulent information about yourself or any other professional
  • Impersonate any person, business, or professional entity
  • Claim credentials, licenses, or qualifications you do not hold
  • Harass, threaten, or abuse other users of the platform
  • Submit spam, unsolicited messages, or promotional content outside your own profile
  • Scrape, copy, or systematically extract data from the platform without our prior written permission
  • Interfere with or disrupt the operation of the platform or its infrastructure
  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation

7. Reviews & flagging

Consumers may submit reviews of professionals. Reviews must be honest, based on genuine experience, and comply with our Acceptable Use policy. Users may flag listings or reviews they believe are inaccurate or in violation of these Terms. Rezo will review flagged content and take action as appropriate. Submitting a flag does not guarantee that action will be taken, and Rezo's decisions regarding reported content are final.

8. Suspension & termination

Rezo may suspend or permanently terminate an account if we determine the account holder has engaged in:

  • Fraud or misrepresentation of any kind
  • Submission of false, fabricated, expired, or revoked credentials or licenses
  • Abuse, harassment, or harmful conduct toward consumers or other users
  • Any other material violation of these Terms

We reserve the right to act immediately and without prior notice where we determine there is a risk of harm to users or the integrity of the platform. Upon termination, your profile will be removed and any remaining subscription time will not be refunded.

9. Rezo's role & disclaimer

Rezo is a directory and connection platform only. We do not:

  • Employ, supervise, or control any professional listed on the platform
  • Guarantee the quality, accuracy, legality, or safety of any professional's services
  • Participate in or oversee any transaction between a consumer and a professional
  • Continuously verify that listed professionals maintain their credentials after initial listing

Any decision to engage a professional found through Rezo is made entirely at your own risk. Rezo strongly encourages consumers to independently verify a professional's credentials before engaging them for services.

10. Disclaimer of warranties

THE REZO PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REZO DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the platform will be uninterrupted, secure, or error-free.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REZO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. IN NO EVENT SHALL REZO'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO REZO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Rezo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, your User Content, your violation of these Terms, or any services you provide or receive through connections made on Rezo.

13. Intellectual property

All content on the Rezo platform — including the Rezo name, logo, design, software, and written content — is owned by or licensed to Rezo and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Rezo content without our prior written consent.

14. Third-party links & services

The Rezo platform integrates with third-party services including Stripe, Supabase, and Vercel. These services operate under their own terms and privacy policies, which we encourage you to review. Rezo is not responsible for the practices or content of any third-party service.

15. Changes to these terms

Rezo may update these Terms at any time. When we make material changes, we will update the "Last Updated" date and notify registered users via email at least 14 days before the changes take effect. Your continued use of Rezo after the effective date constitutes acceptance of the revised Terms.

16. Governing law & dispute resolution

These Terms are governed by the laws of the United States. Any dispute that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA). Before initiating any formal proceeding, you agree to first attempt informal resolution by emailing us at support@joinrezo.com. You agree that any claim must be brought in your individual capacity and not as part of any class action.

17. Miscellaneous

  • Entire agreement: These Terms, together with the Rezo Privacy Policy, constitute the entire agreement between you and Rezo.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • No waiver: Rezo's failure to enforce any right shall not constitute a waiver of that right.
  • Assignment: You may not assign your rights without Rezo's prior written consent. Rezo may assign these Terms without restriction.
